Limited warranty
The warranty and return policy for all products sold below (the “Products”) are determined by the equipment manufacturer or the original supplier. All products sold by P. R. DISTRIBUTIONS INC. (“PR Distribution” or “PRD”) are only warranted during the manufacturer/supplier’s warranty period, limited to customers (“Customers”) who will resell or use them in the course of their business activities.
This warranty covers only manufacturing defects and material of the products in accordance with each manufacturer’s warranty policy. Some manufacturers, such as those of fasteners, do not offer a warranty period.
Exclusive customer remedy: Any product that PRD determines to be defective due to a material or manufacturing defect, and that is returned to a PR Distribution branch or collected by an authorized PRD sales representative, with prepaid transportation costs, will be repaired or replaced at PR Distribution’s sole discretion.
Disclaimer
PR Distribution endeavors to accurately describe and illustrate the products in its catalogs and website. However, these illustrations and descriptions do not warrant the merchantability of the products or their suitability for a particular purpose. Products are sold “as is and where is available,” and no warranty is given or authorized by PR Distribution, except those expressly stated in the limited warranty.
Limitation of liability
PR Distribution assumes no liability for indirect, special, exemplary, punitive, consequential, or incidental damages. PR Distribution’s total liability for damages, losses, or actions shall not exceed the purchase price paid by customers for the relevant Product.
Hazardous materials information
For informational purposes, PR Distribution provides Safety Data Sheets (“SDS”) in accordance with Canadian hazardous product regulations. These SDS’s are available online at https://prdistribution.ca/en/safety-data-sheets/ or can be obtained from any PR Distribution sales representative. PR Distribution does not warrant the accuracy or relevance of the information provided in the SDSs and disclaims any liability associated with their use.
Sales terms
By placing an order, customers agree to PR Distribution’s terms, including the limited warranty. These terms may be amended from time to time without notice. The current terms, including the limited warranty, are set forth on the website www.prdistribution.ca.
Prices
Prices are in Canadian dollars. In the event of a pricing error, PR Distribution reserves the right to change the price without notice. PR Distribution also reserves the right to adjust prices based on market fluctuations and manufacturer conditions. Prices listed in online PDF files are for reference only. For a quote on large quantity product pricing, please contact the PR Distribution sales department. Quotes are valid for 30 days only.
Sales tax
PR Distribution is required to collect Goods and Services Tax (GST) and Quebec Sales Tax (QST) on products. Please provide any exemption certificates when placing your order.
Payment terms
Net 30 days. Administration fee of 2% per month (24% per year) on all overdue accounts. Terms depend on the specific profile of your account. Purchases can be settled using Visa®, MasterCard®, American Express®, Interac®, e-Transfer Interac®, cash, or can be charged to your account for payment by bank transfer. All payments must be made in Canadian or US dollars. If the customer does not settle the invoice according to the payment terms established for their account, PR Distribution may delay shipment until settlement or, at its discretion, cancel any unshipped order in whole or in part.
Credit note
The customer agrees to use any credit note within one year of its issuance. Any unused or unclaimed note within one (1) year may be canceled, in which case PR Distribution shall have no further obligation in this regard.
Return policy
No returns of products will be accepted without our approval. To initiate a return, please contact your sales representative or our customer service (info@prdistribution.ca or 1 800 463-5259). Claims for missing products must be reported within 5 days of receipt. Products remain our property until full payment of the invoice. You may return unused products within 30 days of delivery for exchange or credit. Products must be in their original packaging and in new condition. Certain products, such as those related to safety or first aid, cannot be returned. We inspect all returns and reserve the right to refuse damaged or non-resalable products. Restocking and return fees may apply according to our policy. In the event of an error by the customer when placing an order or making a special request, the customer is responsible for all associated return and restocking fees. These fees will be deducted from the credit issued to the customer.
Product availability and special orders
Check product availability at the time of ordering. For a special order, some productss may be subject to minimum quantities by the manufacturer and may require a longer lead time. We do not accept returns on Special Orders.
Transportation policy
Products are shipped FOB shipping point. PR Distribution reserves the right to pass on to customers the transportation and handling costs incurred. Delivery errors and missing or damaged productss must be reported to PR Distribution on the next business day following receipt of the shipment.
Export
PR Distribution only offers products for delivery and use in Canada. If an order is intended for export, the customer must notify PR Distribution in writing. PR Distribution may accept or reject the order at its discretion. Buyers assume full responsibility for exporting products from Canada and importing them into other countries in compliance with applicable laws. PR Distribution will not act as an exporter under any circumstances.
Chemicals
Chemicals sold by PR Distribution are intended for industrial use only and are not for resale.
Client Portal access policy
Our Client Portal is a secure platform that allows customers to manage their accounts, transactions, and related services. Access to this portal is granted to designated users within each organization, and it is the client’s responsibility to manage and maintain access rights.
PR Distribution does not monitor the assignment of users within the client’s organization and will only update access upon an official request from the account administrator. While PR Distribution implements reasonable security measures to protect portal access, it remains the client’s duty to ensure proper user management.
Client responsibilities:
- The client is solely responsible for determining which employees should have access to the Client Portal and may request a list of authorized users within their organization at any time.
- If an employee leaves the company or should no longer have access to the portal, the client must notify PR Distribution promptly to update or revoke access.
- The client must ensure that employees use unique, secure passwords and do not share login credentials with unauthorized individuals.
- Any unauthorized use or suspected security breach must be reported to PR Distribution immediately.
Privacy policy
By opening an account with us, you agree to our privacy policy regarding the collection, use, and protection of your personal data.
Modification of terms
No addition or modification to the terms binds PR Distribution unless it has consented to it in writing. Processing an order does not signify that PR Distribution accepts additional terms or conditions.
